PROPERTY MANAGEMENT SERVICE AGREEMENT

Broad Scope
This Agreement outlines the contractual obligations and operational framework between Valley Farm Management ("Manager") and the Property Owner ("Owner") for the professional oversight of the designated premises:
Guest Relations & Platform Management: Manager shall serve as the primary point of contact for all guest communications, reservation procurement, and check-in procedures via the Airbnb platform.
Maintenance & Inspection: Manager shall conduct comprehensive site inspections prior to and following each occupancy to ensure compliance with guest-ready standards, including minor repairs and grounds maintenance.
Third-Party Contractors: Owners may elect to utilize Manager's preferred network of licensed contractors or maintain independent vendors for specialized services such as pest control and yard management.
Remuneration: The base management fee is 15% of gross hosting rental payouts excluding the cleaning fee. VFM is to be made Primary Host or alternatively VFM may also list your property on one of its accounts. All payouts must be set up through AirBnB for ease of tracking. Ancillary labor is billed at $30/hour, with emergency or after-hours services subject to a $45/hour premium. Mileage for service off standard visits are billed at .70 per mile.
Termination Rights: This is an at-will agreement terminable by either party upon written notice, with a preferred thirty (30) day notice period for logistical transition.
Manager is committed to the fiduciary protection of the Owner's asset, ensuring continuity of operations in the Owner's absence.

VFM will consult on all things STR Real Estate and Business. We can create new listings or simply be added as the primary host for your already established destination. We try to be as up front as we can about how we do business so there are no hidden surprises down the road.
DETAILED INFORMATION AND POLICIES ARE AS FOLLOWS
Airbnb Guest Management & Communication: VFM shall handle all guest interactions on the Airbnb platform, including but not limited to booking inquiries, check-ins, and check-outs. Additionally, the Property Manager shall be available to provide assistance to guests if they call for help during their stay for any type of emergency. If the owner is comfortable with giving VFM full admin permissions VFM will also handle any and all resolution center issues, refunds or damage claims. The owner is not required to share these permissions and may choose to decline this service.
Cleaning and Maintenance: VFM shall perform pre check-in and post checkout property checks to ensure the property remains in a clean, working and presentable condition. This includes cleaning up any wind blown yard debris on the premises, performing necessary quick landscaping work, and systems checks. This is included automatically with representation by VFM.
Other Monthly Billed Fees & Services: VFM keeps a policy where the property owner may keep contractors they already like for any of the following services. If your property doesn’t need something you don’t have to pay extra! This keeps our baseline management fee low. Compensation: Monthly Management Fee: The Owner shall pay the Property Manager 15% of all host payouts for reservations excluding the cleaning fee. Cleaning fees are paid directly to the VFM Sub-Contractor or held for payment through the owner's preferred vendor.
Hourly Fee for Physical Labor: The Property Manager shall be compensated at a rate of
$30 per hour for any physical labor carried out in accordance with the scope of work.
After-Hours Services: For any services provided for guests at the property outside of
typical daylight hours, 8pm to 6am, the hourly rate shall be $45 per hour.
Mileage is billed at .70 per mile (IRS Standard) Note: Only for trips outside of normal checks.
Monthly Billing & Record Keeping: Payment for any contractors, replacement items, improvements or physical labor shall be made on a monthly basis. VFM will keep record of hours worked with detailed notes for submission to the owner at the end of the month. Owner to review and provide timely payment upon review. No later than NET 15. Please make checks payable to Valley Farm Holdings, mail checks to 504 Bo Guaniquilla Aguada PR 00602.
Term and Termination:This agreement shall commence on the Effective Date and continue until terminated by either party. *30 day notice preferred.
Licensing, Liability and Permits: Owners are responsible for tax reporting and all other local compliance requirements. VFM recommends all properties hold a PR Permiso Unico, PR Tourism Hotelier Registration and Reporting, Aguada Municipality Patent. We also recommend a 1M/2M General Liability Policy on top of the AirBnB provided policy. VFM is only a manager of the property and services but is released from all liability associated with renting properties to the general public which carries known and inherent risks.
Confidentiality: The Property Manager shall maintain the confidentiality of all information related to the property and its guests.
Entire Agreement: This agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral.
IN WITNESS WHEREOF, the parties hereto have executed this Property Management Agreement as of the Effective Date.
